Pereview Software, LLC Terms of Use
These Terms of Use govern the use of this Web site and all web pages and content therein (collectively, the “Site”). The Site is provided by PEREVIEW SOFTWARE, LLC (“Pereview,” the “Company,” “we,” “us,” or “our”) strictly subject to these Terms of Use (as defined below).
BY ACCESSING OR USING THIS SITE, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS CONCERNING YOUR USE OF THIS SITE (“TERMS OF USE”) AND PEREVIEW’S PRIVACY POLICY. PEREVIEW MAY MAKE CHANGES TO THE CONTENT OF THIS SITE, THE TERMS OF USE, AND PRIVACY POLICY AT ANY TIME WITHOUT NOTICE TO YOU. THE REVISED TERMS OF USE AND PRIVACY POLICY SHALL BE POSTED ON THIS SITE. YOU ARE RESPONSIBLE FOR REGULARLY REVIEWING THESE TERMS OF USE AND PRIVACY POLICY. YOUR CONTINUED USE OF THIS SITE FOLLOWING ANY CHANGES SHALL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES.
USE OF THIS SITE IS LIMITED TO PERSONS WHO HAVE ENTERED INTO, OR ARE OTHERWISE SUBJECT TO, A MASTER SOFTWARE AS A SERVICE LICENSE AGREEMENT WITH PEREVIEW (“YOUR LICENSE AGREEMENT”). IN ANY INSTANCE WHERE ANY PROVISION OF THESE TERMS OF USE CONFLICTS WITH A PROVISION IN YOUR LICENSE AGREEMENT, THE PROVISION OF YOUR LICENSE AGREEMENT WILL CONTROL.
Use of this Site
Contents of this Site (“Contents”, as further described below) may be used solely for the furtherance of your relationship with Pereview and, except in any instances where it may be specifically authorized by Your License Agreement, you may not copy, use, modify, distribute, transfer, download, upload, resell, or republish any of the Contents without the prior written authorization of Pereview. You may not use the Contents in any manner that could damage, disable, overburden, or impair any Pereview server, or the network(s) connected to any Pereview server, or interfere with any other party’s use and enjoyment of the Site or the Contents. You may not attempt to gain unauthorized access to any Contents, other accounts, computer systems or networks connected to any Pereview server or to any of the Contents, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site.

Except where otherwise expressly noted in these Terms of Use or Your License Agreement, all Contents, including but not limited to, all images, pictures, logos, illustrations, designs, photographs, video clips, text, icons, graphics, case studies, white papers, press releases, designs, overall appearance of this Site, and written and other materials that appear on this Site are copyrights, trademarks, trade dress or other intellectual property owned, controlled, or licensed by Pereview or its affiliates or are the property of their respective owners and are protected by U.S. and international copyright laws and conventions.

THE SITE, ITS CONTENTS, SOFTWARE, PRODUCTS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SITE AND ITS CONTENTS IS AT YOUR SOLE RISK. THE SITE AND ITS CONTENTS ARE PROVIDED WITHOUT ANY REPRESENTATIONS, ENDORSEMENTS, OR WARRANTIES OF ANY KIND WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF TITLE OR ACCURACY AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Limitation of Liability
In no event will Pereview be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential, punitive damages, or damages for loss of data, profits, revenue, incurred by you or any third party, whether under a contract, tort or any other theory of liability, arising in connection with any party’s use of this Site or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus, line system failure, loss of data, or loss of use related to this Site or any website operated by any third party or any contents of this Site or any other web site, even if Pereview is aware of the possibility of such damages. The preceding provisions shall not constitute a limitation on any contrary provisions, if any, in Your License Agreement.
Indemnity
You agree to defend, indemnify, and hold harmless Pereview, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with any breach by you of these Terms of Use (as they may be modified by Your License Agreement and subject to any limitations on indemnification that may be provided in Your License Agreement).
Submissions
If you submit any information to Pereview via this Site, apart from Client Data and your other Confidential Information (as those terms are defined in Your License Agreement), the information shall be deemed and shall remain the property of Pereview and Pereview shall have the right to use that information in furtherance of Pereview’s business.
Privacy Policy

Passwords
You are responsible for maintaining the confidentiality of any password(s) you are given to access this Site, and are fully responsible for all activities that occur under your password(s). You agree to notify Pereview immediately of any unauthorized use of your password(s). You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Pereview immediately of any unauthorized use of your account or any other breach of security. Pereview will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Pereview or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder.
Links to Third-Party Web sites, Content, Products, Services
Pereview may establish links between this Site and one or more web sites operated by third parties. Pereview has no control over any such other websites, the contents therein or the products/services offered. The existence of any such links shall not constitute an endorsement, representation or warranty by Pereview of such websites, the contents of the third-party websites, the products or services of such websites or the operators of the websites. Pereview disclaims responsibility for the privacy policies and customer information practices of third-party Internet sites hyperlinked to this Site. If you choose to purchase any products or services from a third party, your relationship is directly with the third party. You agree that Pereview is not responsible for: (a) the quality of third-party products or services; or (b) fulfilling any of the terms of your agreement with the seller, including delivery of products or services and warranty obligations related to purchased products or services. You agree that Pereview is not responsible for any loss or damage of any sort you may incur from dealing with any third party.
Use of Data
You also hereby grant to Pereview a perpetual, non-cancelable, worldwide, non-exclusive right to utilize any data that arises from the use of this Site or any Pereview or its affiliates’ products by you for any legitimate business purpose, including the right to sublicense such data to third parties, subject to all legal restrictions regarding the use and disclosure of such information. The foregoing license shall not apply to any Client Data or any of your other Confidential Information, as those terms are defined in Your License Agreement.
Termination of Use
Termination of your access to this Site will be governed by the terms of Your License Agreement. However, during any time that Your License Agreement is not in effect, Pereview may, in its sole discretion, at any time terminate your access to this Site and any account(s) you may have in connection with this Site.
Applicable Law
Except as may otherwise be expressly provided in Your License Agreement: (i) all matters relating to your access to, and use of, this Site shall be governed by U.S. federal law or the laws of the State of Texas; (ii) any legal action or proceeding relating to your access to, or use of, this Web site shall be instituted in a state or federal court in Dallas County, Texas; and (iii) you agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
