Pereview LLC Terms of Use 

These Terms of Use govern the use of the Web site and all web pages and content therein (collectively, the “Site”). The Site is provided by PEREVIEW SOFTWARE, LLC (“Pereview,” the “Company,” “we,” “us,” or “our”) strictly subject to these Terms of Use. 

BY ACCESSING OR USING THIS SITE, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS CONCERNING YOUR USE OF THIS SITE (“TERMS OF USE”) AND PEREVIEW’S PRIVACY POLICY. PEREVIEW MAY MAKE CHANGES TO THE CONTENT OF THIS SITE, THE TERMS OF USE, AND PRIVACY POLICY AT ANY TIME WITHOUT NOTICE TO YOU. Contents of this site may be used solely for the furtherance of your relationship with Pereview and you may not copy, use, modify, distribute, transfer, download, upload, resell, or republish any of the Contents of this Web site without the prior written authorization of Pereview.  You may not use the Contents in any manner that could damage, disable, overburden, or impair any Pereview server, or the network(s) connected to any Pereview server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any Pereview server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

Limitation of Liability 

In no event shall Pereview be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential, punitive damages, or damages for loss of data, profits, revenue, incurred by you or any third party, whether under a contract, tort or any other theory of liability, arising in connection with any party’s use of this Site or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus, line system failure, loss of data, or loss of use related to this Site or any website operated by any third party or any contents of this Site or any other web site, even if Pereview is aware of the possibility of such damages. 

Indemnity 

You agree to defend, indemnify, and hold harmless Pereview, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of this Site or breach by you of the Terms of Use. 

Submissions 

If you submit any information to Pereview via this Site, the information shall be deemed and shall remain the property of Pereview and Pereview shall have the right to use that information in furtherance of Pereview’s business. 

Privacy Policy

Passwords 

You are responsible for maintaining the confidentiality of any password(s) you are given to access this Site, and are fully responsible for all activities that occur under your password(s). You agree to notify Pereview immediately of any unauthorized use of your password(s).  You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Pereview immediately of any unauthorized use of your account or any other breach of security. Pereview will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Pereview or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder. 

Links to Third-Party Web sites, Content, Products, Services 

Pereview may establish links between this Site and one or more web sites operated by third parties. Pereview has no control over any such other websites, the contents therein or the products/services offered. The existence of any such links shall not constitute an endorsement, representation or warranty by Pereview of such websites, the contents of the third-party websites, the products or services of such websites or the operators of the websites. Pereview disclaims responsibility for the privacy policies and customer information practices of third-party Internet sites hyperlinked to this Site. If you choose to purchase any products or services from a third party, your relationship is directly with the third party. You agree that Pereview is not responsible for: (a) the quality of third-party products or services; and (b) fulfilling any of the terms of your agreement with the seller, including delivery of products or services and warranty obligations related to purchased products or services. You agree that Pereview is not responsible for any loss or damage of any sort you may incur from dealing with any third party. 

Use of Data 

You also hereby grant to Pereview a perpetual, non-cancelable, worldwide, non-exclusive right to utilize any data that arises from the use of this Site or any Pereview or its affiliates’ products by you for any legitimate business purpose, including the right to sublicense such data to third parties, subject to all legal restrictions regarding the use and disclosure of such information. 

Termination of Use 

You agree that Pereview may, in its sole discretion, at any time terminate your access to this Site and any account(s) you may have in connection with this Site. Access to this Site may be monitored by Pereview. 

Applicable Law 

All matters relating to your access to, and use of, this Site shall be governed by U.S. federal law or the laws of the State of Texas. Any legal action or proceeding relating to your access to, or use of, this Web site shall be instituted in a state or federal court in Dallas County, Texas. You and Pereview agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

1. Pereview Services and Scope

Pereview provides comprehensive asset and portfolio management software solutions and services to property owners and lenders in the commercial real estate industry (our “Clients”). Our on-demand product line covers the full spectrum of accounting, leasing, operations, valuation, and data services (collectively “Pereview Services”). In providing this suite of services, Pereview acts as a service provider under contract to our Clients. As a service provider, Pereview does not control any of the personal information we process on behalf of our Clients. Our Clients collect and control all such personal information, and Pereview is required to provide our products and services in accordance with Clients’ contractual provisions (as previously disclosed in writing to Pereview) and written instructions regarding data collection and processing. 

Our Clients may administer Pereview Services access for their employee end users. This administration may include control over end user account access and functionality, as well as access and monitoring of end user data and activity. Pereview is not responsible for the privacy or security practices of our Clients, and this Privacy Statement is not intended to cover those Client practices. Furthermore, this Privacy Statement does not apply to the privacy or security 

1. II. Information Collection

Pereview Services involve the collection and processing of personal information for business purposes. This includes Client resident and prospect information (either provided by Clients to Pereview or collected directly from residents by Pereview acting on behalf of Clients) and Client employee information (collected by Pereview to establish user account access to Pereview Services). This personal information varies depending on the individual Pereview Services being utilized, and multiple services may be integrated at a Client property. The personal information collected includes the following: 

• Contact Information & Identification: name, address, telephone number, email address, and emergency contact information 

• Property Ledger Information and Documents: leases, tenant ledger history, utility consumption/expense, property notices and communications, rent/fee payment receipts, and other Client-generated content related to property management and resident history 

• Credentials and Authentication Information: usernames, passwords, password hints and security questions 

• Technical Information: IP address, device and hardware specifications, and web browser type 

• Usage Data: logging data that tracks service access, usage, performance metrics, and error reports 

III. Information Use 

The personal information collected by Pereview Services is used for a variety of purposes, including: 

• To fulfill the purpose for which the personal information was collected and provide the requested Pereview Services. 

• To integrate with services offered by Pereview or third-party service providers contracted by Clients. 

• To process service requests, transactions, and payments and prevent transactional fraud. 

• To distribute communications and legally required notices regarding the status of Pereview Services via phone, email, and SMS text. 

• To provide Pereview Services maintenance, enhancement, support, and website optimization. 

• To maintain compliance with federal and state laws related to software-as-a-service, background screening, financial institutions, and money services businesses. 

• To create, maintain, customize, and secure Pereview Services user accounts. 

1. Information Sharing & Disclosure

Pereview does not sell personal information collected through Pereview Services. 

Pereview may provide personal information to third parties under limited circumstances, including service providers and vendors that support or integrate with the Pereview Services described in this statement. Pereview only shares personal information to the extent reasonably necessary to support Pereview Services requirements, or for the third party vendors or service providers to perform the services on our or our Clients’ behalf. We do not permit third party vendors or service providers to use or disclose your personal information except for the purpose of providing the services we request of them. However, please note that Pereview does not maintain direct control over the privacy policies and practices of Clients or any other third party companies, agents, or contractors. 

In addition, if Pereview enters into any business transition, restructuring, merger, sale, or other transferring of assets, we reserve the right to transfer all Pereview Services information, including all personal information, as part of or in connection with the transaction. 

Finally, we will access, transfer, disclose, and preserve personal information when we have a good faith belief that doing so is necessary to: 

• Comply with applicable law or respond to valid requests by public authorities, including law enforcement, national security agencies, or other government entities; 

• Operate and maintain the security of Pereview Services; and 

• Protect the rights and property of Pereview, including both intellectual property and physical systems infrastructure. 

1. Cookies, Web Beacons, and Other Technologies – Do Not Track

When you access Pereview Services or our website, our servers may place small text files (“cookies”) on your computer for recordkeeping purposes. Among other things, cookies enable us to gather information about your activity on our website for the purposes of improving your online experience, establishing secure user accounts, remembering your preferences and settings, and for other similar customization purposes. 

In addition to cookies, the Pereview Services and our website may utilize web beacons, clear gifs, or other technologies to gather information on how users interact with and utilize various features. For example, these technologies can identify popular pages, viewing patterns, click-through, conversion rates, and other information that can be used to improve, monitor, and operate our websites, products, and services. 

Some web browsers have a “Do Not Track” feature. This feature lets you tell websites you visit that you do not want to have your online activity tracked. These features are not yet uniform across browsers, and our sites are not currently set up to respond to those signals. Most internet browsers provide controls that allow users to directly manage or disable the placement and usage of cookies on their computer. Please note that disabling cookies may deactivate or otherwise restrict certain features on Pereview Services or our website. 

1. Third Party Links to Other Sites

Pereview Services may include links to third party service providers contracted by Clients. These linked services are operated by unaffiliated third parties that have separate and independent privacy statements, terms of use, and related notices or disclosures regarding information handling practices. We cannot be responsible for the information handling practices of independent parties and encourage you to review their practices prior to information disclosure. 

Pereview Services that offer mobile applications do not include third-party ad partners, campaigns, or personalized ad delivery. 

VII. Data Security 

Pereview implements and maintains appropriate physical, administrative, technical, and organizational measures to protect the information we process against unauthorized or unlawful access, use or disclosure, and against accidental loss, damage, alteration or destruction. Under our security policies and practices, access to personal information is restricted and authorized only for those who have a business need for such access. Pereview strives to protect the personal information that we process; however, no security program is 100% secure and we cannot guarantee that our safeguards will prevent every unauthorized attempt to access, use, or disclose personal information. We maintain security incident response policies and procedures to handle incidents involving unauthorized access to personal data we process. 

VIII. Accessing and Updating Personal Information 

In the event your personal information is determined to be outdated, incomplete, or inaccurate, you may access and update your information by logging into your Pereview Services account or contacting your property manager. If you require verification that your requested changes have been completed, and such verification is not readily displayed in your Pereview Services account, you may request confirmation at the email address listed below (See “Contact Us”).

Pereview does not target children under the age of 13 for the collection of information online, and our services are not designed to attract children’s attention or interaction.
